Terms of Service

These terms govern your use of BaniFin. By registering an account or using the service, you agree to these terms. Please read them carefully.

1. Who we are

BaniFin is an online financial management platform operated by BAYT ULAB (Pty) Ltd, a company incorporated in South Africa, trading as "BaniFin" ("BaniFin", "we", "us", "our"). References to "you" or "your" mean the individual or business using our service.

2. The service

BaniFin provides cloud-based business management tools including invoice creation and delivery, expense and income tracking, budget management, a hardware asset register, a contract repository, and team collaboration tools. Where you subscribe to the relevant plan, the Service also includes payroll processing (PAYE, UIF and SDL calculations, payslips, and bank export files), employee records and HR management (including leave and disciplinary records), and preparation of statutory filings — including VAT201, EMP201, EMP501, IRP5/e@syFile, COIDA Return of Earnings, and UI-19/uFiling — for you to review and submit yourself to SARS, the Compensation Fund, or the Department of Employment & Labour as applicable (collectively, the "Service"). BaniFin does not submit these filings to any authority on your behalf.

The Service is provided on a subscription basis. Access requires an active subscription except during any trial period we may offer.

3. Account registration

To use the Service you must register an account. You agree to:

4. Subscriptions and billing

Plans

BaniFin offers multiple subscription tiers. Current plans and pricing are listed on our billing page within the application. Prices are in South African Rand (ZAR) and are inclusive of VAT where applicable.

Payment

Payments are processed by Yoco, a third-party payment provider. By subscribing, you also agree to Yoco's terms of service. BaniFin does not store your card details.

Billing cycle

Subscriptions are billed on a monthly basis from the date of activation. Your subscription renews automatically each month unless cancelled.

Grace period

If a renewal payment fails or your subscription expires, you will have a 7-day grace period during which you retain read-only access to your data. After the grace period, access is suspended until the subscription is renewed.

5. Cancellation and refunds

Cancellation

You may cancel your subscription at any time through the billing section of your account or by contacting us. Cancellation takes effect at the end of your current billing period. You retain access until that date.

Refunds

Monthly subscription fees are non-refundable once the billing period has started. If you experience a billing error or are charged in error, contact us within 14 days and we will investigate and issue a refund if appropriate.

6. Your data

You own all data you enter into BaniFin — client records, invoices, expenses, financial data, and, if you use Payroll/HR, employee records. We do not claim ownership of your data. You are responsible for the accuracy and legality of the data you enter.

If you use Payroll/HR, you will enter personal information about your employees, including identity numbers, tax reference numbers, banking details, and remuneration and leave records. In relation to that employee data, you are the responsible party under POPIA and BaniFin acts as an operator, processing it only to provide the Service on your instruction. You confirm that you have the lawful basis required (such as the employment relationship) to provide your employees' personal information to us for this purpose.

We handle your data in accordance with our Privacy Policy and applicable South African law including POPIA. Sensitive personal information — such as identity numbers and banking details — is encrypted at rest and masked by default in the interface.

Upon account termination, you may request an export of your data within 30 days. After that period, data may be deleted from our systems.

7. Acceptable use

You may use BaniFin only for lawful business purposes. You agree not to:

We reserve the right to suspend or terminate accounts that violate these conditions without refund.

8. Availability and uptime

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be unavailable during maintenance, upgrades, or due to circumstances beyond our control. We will endeavour to notify users of planned downtime in advance.

9. Intellectual property

The BaniFin platform, its design, code, and content are owned by BAYT ULAB (Pty) Ltd and are protected by South African intellectual property law. Nothing in these terms grants you any ownership of or licence to our intellectual property beyond the right to use the Service as described.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, BaniFin disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. BaniFin does not warrant that the Service will be error-free or that any information provided constitutes legal, tax, or financial advice.

You are responsible for verifying the accuracy of VAT, PAYE, UIF, SDL, and any other calculations, payslips, or statutory filing outputs generated by the Service before submitting to SARS, the Compensation Fund, the Department of Employment & Labour, or any other authority.

11. Limitation of liability

To the maximum extent permitted by applicable South African law, BaniFin's total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid to BaniFin in the 3 months preceding the claim. BaniFin shall not be liable for indirect, incidental, consequential, or special damages.

12. Changes to these terms

We may update these terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

13. Governing law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa.
